What role does the legal mandate on a company in contracting away any of its managerial duties have on the decision for issuing an injunction?

There can be no injunction about the managerial duties, unless the legal mandate mentioned by you is some kind of a statutory obligation. No court would even think of directing any company – how to go about their business.
